The successful candidate will have the opportunity to make a significant impact on the development of the legal department at NetSuite as we ramp to support NetSuite’s rapidly expanding business. A significant part of the job will consist of reviewing, negotiating and drafting agreements for sales transactions and supporting NetSuite’s worldwide sales, services, partner alliances, support organizations and channel distribution programs, as well as new product expansion. This individual must be a self-motivated team player with the ability to take a leadership role in identifying and resolving legal issues, drafting and negotiating contracts, and balancing legal and business concerns. Experience with issues pertaining to data privacy and cloud computing, including sales and support of products, development, IP, inbound technology licensing, commercial law and revenue recognition is required. Candidates should work well in a fast-paced, challenging environment as part of a dynamic team of professionals, and have the ability to communicate effectively in group settings and before senior management.


  • Reviewing, drafting and negotiating commercial SaaS/Cloud transactional agreements, focusing on outbound global direct and indirect licensing, technology and strategic relationship agreements
  • Undertake projects as required to support business alliances and technology development programs and agreements and advise internal clients of program rights and obligations
  • Undertake and manage projects as required to develop process improvement programs and new programs and models
  • Participate in drafting non-standard agreements and agreements for new products & services, as well as maintaining boilerplate agreements;
  • Provide advice, guidance and training to internal clients on a broad range of subject matter, including structure of complex transactions, general commercial law, privacy, data protection and intellectual property


  • JD from top tier law school and excellent academic credentials
  • 4-6 years of relevant law firm and/or in-house legal experience and California bar member (or qualified to register as in house counsel)
  • Ability to manage and drive issues among multiple projects cross-functionally across departments, including managing visibility to management and legal department
  • Strong negotiation skills in connection with enterprise agreements with large customers
  • Able to handle multiple matters simultaneously, prioritize effectively and manage outside counsel
  • Evaluate issues from legal and business perspectives with a practical, business-oriented approach
  • Excellent written and oral communication skills
  • Service-oriented
  • Interested in and comfortable with technology
  • Experience working with the SaaS model is a plus.
  • Operational experience creating and implementing contract processes and working closely with sales operations.
  • Basic knowledge of revenue recognition principles.
  • Basic knowledge of worldwide data privacy regulations and SAAS industry.
  • Team-oriented and collaborative
